Terms of Service

These terms apply to visitors, clients, and authorised users of Tan & Co.'s website, AI tools, software, and consulting services. They form the website usage terms unless a signed statement of work or service agreement states otherwise.

Using the website means you accept these terms. A signed proposal, purchase order, or statement of work confirms the commercial details for a specific engagement.

Each business AI solutions agreement defines the work, delivery dates, dependencies, fees, and acceptance measures. We work to that written scope.

After the client has paid the applicable fees, the client owns the project outputs, models, reports, configurations, and insights created specifically for that client, subject to any third-party rights stated in the project agreement.

Tan & Co. keeps its pre-existing tools, templates, methods, libraries, generic know-how, and improvements that do not identify or expose the client's confidential information. We grant the client the licence needed to use those elements within the delivered service.

• Client data remains the client's data. It is used to deliver, secure, maintain, and improve the agreed service only where the agreement permits it.
• Each party must protect confidential information with reasonable care and share it only with people who need it for the engagement.

AI outputs support human review and business decisions. Tan & Co. does not promise that an output will be error-free, suitable for every purpose, or available without interruption unless the relevant agreement says so.

To the extent allowed by Singapore law, Tan & Co.'s total liability for a specific service is capped at the fees paid for that service during the twelve months before the event giving rise to the claim.

Neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, or loss of business opportunity. This limit does not exclude liability that cannot legally be excluded.

These terms and any related business AI solutions agreement are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, subject to the dispute process agreed in writing.

• Raise a dispute with the other party promptly and provide the relevant facts and documents.
• Both parties will make a genuine effort to resolve the matter through discussion or mediation before starting court proceedings.
• If any provision is unenforceable, the remaining provisions continue. The parties will replace the affected provision with one that reflects its original purpose.
